BY-LAWS

ARTICLE I – NAME AND PURPOSE


Section 1: Name

The name of this club shall be “Balboa Park Men’s Club”. Its principal place of business shall be in the City of San Diego, California.

Section 2: Purpose

This Club is organized for the purpose of promoting the game of golf in and about the City of San Diego, especially at the Municipal Golf Course in Balboa Park. Also, for the further purpose of promoting tournaments among the members of said Club and other Clubs in and about the County of San Diego.


ARTICLE II – MEMBERSHIP


Section 1: Composition

This Club shall be composed of Active, Social and Junior Members.

Section 2: Eligibility

Any person of good character, residing in or about the County of San Diego shall be eligible to apply for membership.

Section 3: Description

Active members may participate in all activities of this Club. Social Members may participate in all activities except tournament golf. Past Presidents of the Club shall be Life Social Members. A person who made outstanding contributions to golf may be made an Honorary Social Member by a Majority vote of the Board Of Governors. Other persons may apply for regular Social Membership. A Social Member may become an Active Member by paying the difference in annual dues. (See Section 6). Junior Memberships shall be golfers less than eighteen (18) years of age. Junior Members may play in all club golf tournaments and receive script in the Pro Shop for any winnings in any flight; but must be Eighteen (18) years of age to qualify to be a "Club Champion" or "President's Cup Champion". To be a "Senior Club Champion", the member must be Fifty (50) years of age; however, any member can play and receive script in the Pro Shop for winnings in any flight.

Section 4: Responsibility

Membership in this Club shall be non-assessable and non-transferable.

Section 5: Application for Membership

All applications for membership shall be on the regular form furnished by the Club. The applicant must be referred to the Membership Committee for consideration and recommended to the Board of Governors for approval. The names of new members will be posted on the Club bulletin board in the main lounge when approved. Full payment of initiation fee and annual dues must be included with the application for membership.

Section 6: Fees and Dues

All fees and dues shall be determined annually by the Board of Governors. Annual Dues, when paid will cover from the period from January 1st to December 31st of each current year. Annual Dues for each subsequent year are due and payable on or after October 1st of each current year; and will become delinquent after December 13th of the current year. Effective December 14th of the current year, a $10 SCGA late fee penalty will be accessed for members wanting to reinstate their membership. Reinstated members will not be able to post their scores in the SCGA computer until their names appear on a current Monthly SCGA Handicap Sheet.


ARTICLE III – ORGANIZATION


Section 1: Government

The government of this Club shall be vested in a Board of Governors who shall be composed of eleven (11) Active Members, all of whom shall be elected annually as hereinafter provided. The President, First Vice President, Second Vice President, Third Vice president, Secretary and the Treasurer shall be ex-officio members of the Board of Governors.

Section 2: Board of Governors

The Board Of Governors may adopt rules and regulations for the government and conduct of the Club, and shall have the power to amend the same. Committees have the power to conduct appropriate investigations on any issues involved within their responsibilities. They may apprise or warn a member about a problem, or propose appropriate sanctions or discipline. However, any "disciplinary" actions proposed must be approved by the Board Of Governors before serving a member with any notice of such disciplinary action. The member so notified has the right to have a Hearing regarding action(s) taken; and the Board of Governors' decision after such hearing is final.

In cases regarding “Suspensions” or “Termination Of Club Membership or Tournament Play”, the Men’s Club must receive a written complaint signed by a current club member which will be reviewed by a committee consisting of the Club President, Tournament Committee, and Handicap Committee. After their review, they shall request a response by the effected member; and shall submit a written recommendation of action to the member within 30 days of such complaint. The effected member shall advise the Club President of his acceptance or rejection of the recommendation of action within 15 days of receipt of same. If there is no response from the effected member, the recommendation of action shall be adopted and issued immediately by Board of Governors. If the effected member desires to further dispute the recommended action, he must make a written request for a hearing before a quorum of the Officers and Board of Governors of the Men’s Club within the above mentioned 15 days. The member shall present evidence or mitigating circumstances at such hearing; and a decision by a majority of the above mentioned Officers and Board of Governors shall be final as to the action taken, if any, against the effected member.

The Board of Governors shall control and manage the property of the Club and the appropriation of its funds. The Board shall have the power to determine and fix membership dues as well as dates for the payment of the dues. All rules and regulation relative to the amount of dues shall be subject to change by order of a majority vote of the members at any regular meeting called for such purpose.

The written approval of the minutes of any previous meeting by any Governor who was absent from such meeting shall have the same force and effect as if they were personally present at said meeting and voted affirmatively on each resolution adopted. A majority of the Board of Governors shall constitute a quorum for the transaction of all business at any meeting of the Board and an affirmative vote of the majority of the Governors constituting the quorum shall be necessary to pass any resolution.

If the office of any Governor or any officer or employee becomes vacant by reason of death, resignation, retirement, disqualification, removal from office or otherwise, the remaining Governors then in office, though less than a Quorum, by a majority vote may choose the successor(s) who shall hold office for the remainder of the vacated term.

The decision of the Board of Governors shall be final in any and all cases not covered in the by-laws.


ARTICLE IV – PROCEDURE FOR NOMINATIONS AND ELECTION OF OFFICERS AND GOVERNORS


Section 1: Election

Nominations and election of Officers and Governors shall be held annually on the first Tuesday of December each year at the hour of 7:00 p.m.; at the principal place of business of the Club in the manner hereinafter designated.

Section 2: Installation

The Officers and Governors so elected shall be duly installed and shall assume their duties at the next regular meeting following their election and shall so continue until their successors are duly elected and installed.

Section 3: Notice of Intent to run for office

On October 1st of each year those interested in running for office (except for the position of President which would require that you had served on the Board of Govenors either currently or in the past) shall enter their names on an application provided by the club that will be available in the main lobby. These names will be available for public view in the lobby and posted at the clubs website. By the end of November those individuals listed on the official application of “intent to run for office” shall be automatically nominated to run for office in the December elections. Official ballots will then be made from the “intent to run for office” list. Any member who showed an “intent to run” for office but is not present at the December elections shall be removed from the ballot.

Section 4: Election of Officers and Governors

On the first Tuesday of December of each year, a secret ballot vote shall be made by the members present for each of the officers placed in nomination. First for President and then for First Vice President and continuing on in this manner, until all offices have been voted upon. The persons so nominated who shall receive the highest number of votes for each of said offices respectively, shall be declared elected to such office for the ensuing year. Election of the five (5) members of the Board of Governors shall also be made by secret ballot. The five (5) receiving the highest number of votes shall be declared elected as the five (5) members of said Board of Governors.


ARTICLE V


Section 1: Regular Meetings

Regular meetings of the members shall start at 6:30PM on the first TUESDAY of each month, unless such TUESDAY shall fall on a legal holiday, in which event the meeting shall be held on the following TUESDAY. NOTE: The December meeting will start at its regular time at 6:30PM, and the "Election Of Officers and Board Of Governors" shall follow and start at 7:00PM, as required by SCGA.

Section 2: Special Meetings

A special meeting of the Board of Governors may be called at any time by the President and shall be called at any time upon the written request of three (3) Governors, or ten (10) members filed with the Secretary and briefly stating the purpose of such call.

Section 3: Scope of Meetings

Any business within the scope of the corporate powers of the Club and in accordance with the by-laws may be transacted at the annual or any regular meeting of the Club.

Section 4: Notice of Special Meeting

At least two (2) days notice by phone or mail shall be given to each member of the holding of any special meeting.

Section 5: Voting by Proxy

Voting by proxy shall not be permitted at any of the meetings of this Club.


ARTICLE VI – OFFICERS


Section 1: President

The President shall preside at all meetings of the Club and of the Board of Governors. The President shall also perform such duties incident to office and shall advise such action as may be deemed likely to increase the usefulness of the Club.

The President may appoint from the members of the Club such committees as the occasion may require and that are deemed necessary. The President shall also have the power to remove them.

The term of all committees shall be during the term of the administration from which they received their appointment. The term of a special committee shall expire with the performance of the duty for which it was appointed.

Section 2: Vice President

In the absence of the President, the First Vice President the Second Vice President and the Third Vice President, in the order named shall assume the duties of the President. In the absence or disability of the three (3) Officers named, the Board of Governors from its own members shall select a President Pro Tempore.

Section 3: Secretary

In addition to the other duties imposed by the provisions of these by-laws, it shall be the duty of the Secretary to conduct the official correspondence, to preserve all books, documents and communications. Maintain an accurate record of the proceedings of the Club, the Board of Governors and committees and accumulate a file of reference information on subjects of interest to members for the proper prosecution of the purpose for which the Club was organized. At the end of the period for which elected or appointed, the Secretary shall deliver to the Board of Governors all books, papers any property of the Club.

Section 4: Treasurer

The Treasurer shall receive and disburse the funds of the Club. The Treasurer shall keep the money of the Club deposited in its name in such bank or banks as may be designated from time to time by the Board of Governors. The Treasurer shall make a quarterly report to the Board of Governors showing the financial condition of the Club; the appropriation made for each activity as the unencumbered balance thereof.

Section 5: Disbursements

Any member of the Club or any member of any committee of the Club shall incur no liability unless the Board of Governors shall authorize the same.


ARTICLE VII – TERM OF THE EXSISTENCE


This Club shall remain in existence until such time as three-fourths (3/4) of its active membership shall vote to disband it. No member shall have any right, title or interest in any assets of the Club unless the same is disbanded in which event only Active Members in good standing at the time the Club is disbanded may participate pro rata of the assets.


ARTICLE VIII – RECALL OF OFFICERS


To recall an officer or any member of the Board of Governors, it shall be necessary to present to the Secretary of the Club a petition signed by not less than fifty (50) members of the Club who are in good standing. This petition shall state the name(s) of the person or persons to be recalled, the office(s) held by the person(s) and shall set forth clearly the reason for the recall. The Secretary shall then send to such person(s) at their last known address at least ten (10) days in advance, notice that such recall matter shall be considered at a regular or special meeting called for that purpose stating the time and place for such meeting. At this meeting, all parties interested shall present all facts and after gathering all the evidence, the members shall proceed to vote on the question of recall. A three-fourths (3/4) vote of all members present in the affirmation shall be required to effect the recall of the person or persons in question. Because of the importance of this proceeding, a quorum shall consist of not less than fifty (50) members in good standing.


ARTICLE IX – AMENDMENTS


These bylaws may be altered, amended or repealed at any monthly or adjourned monthly meeting of the members of this Club or at any special meeting called for this purpose. Any amendment proposed must be carried by a majority vote of the meeting at which it was proposed before it shall become effective.
