| BY-LAWS OF THE BALBOA PARK MEN'S GOLF CLUBRevised November 10, 2010ARTICLE I - NAME AND OBJECTSection 1 - NameThe name of this club shall be "Balboa Park Men's Golf Club". Its principal place of business shall be in the City of San Diego.Section 2 - ObjectThis club is organized for the purpose of promoting the game of golf in and about the City of San Diego, especially at the Municipal Golf Course in Balboa Park and for the further purpose of promoting tournaments among the members of said club and other clubs in and about the city and county of San Diego.ARTICLE II - MEMBERSHIPSection 1 - CompositionThis club shall be composed of Active, dues paying members, including Junior Membership under the age of 18 years.Section 2 - EligibilityAny man of good character residing in the County of San Diego shall be eligible to apply for membership.Section 3 - DescriptionActive members may participate in all activities of this club. Past presidents shall be lifetime members of this club, but shall be required to pay applicable annual SCGA membership fees. A person that has made outstanding contributions to golf or this club may be made an Honorary Lifetime Member of the club by a majority vote of the Officers and Board of Governors of the club.Section 4 - ResponsibilityMembership in this club shall be non-assessable and non-transferable.Section 5 - Application for MembershipAll application for membership shall be on the regular form furnished by the club. The applicant must be referred to the membership committee for consideration and recommendation to the Board of Governors for approval. The names of new members will be posted on the club bulletin board in the main lounge when approved. Full payment of applicable dues must be included with the application for membership.Section 6 - Fees and DuesAll fees and dues shall be determined annually by the Board of Governors. Annual dues, when paid, will cover the period from January 1 to December 31 of each current year. Annual dues for each subsequent year are due and payable starting November 1 and not later than December 15 to meet SCGA requirements for the coming year. Members failing to meet the required deadline for club notification to SCGA for the coming year shall be dropped from the club and SCGA rosters. Member applications after the deadline shall have a grace period for renewal of not later than March 1 of the renewal year, but shall pay a $5.00 late fee. Participation in club events and tournaments is denied until payment of dues, including late fees. Member applications after the grace period and members applications for those that have missed one or more years of club membership shall be subject to new members fees.ARTICLE III - ORGANIZATIONSection 1 - GovernmentThe government of this club shall be vested in a Board of Governors, who shall be composed of eleven (11) active members, all of whom shall be elected annually by members of the club. The Board of Governors shall consist of the following. President, Vice President, Treasurer, Secretary, who shall be called the Officers and seven (7) board members at large.Section 2 - Board of GovernorsThe Board of Governors may adopt rules and regulations for the government and conduct of the club and shall have the power to amend the same.The written approval of the minutes of any previous meeting by any governor who was absent from such meeting shall have the same force and effect as if they were personally present at any such meeting and voted affirmatively on each resolution adopted. A majority of the Board of Governors shall constitute a quorum for the transaction of all business at any meeting of the Board and an affirmative vote of all the majority of governors constituting the quorum shall be necessary to pass any resolution. If the office of any Governor or any officer becomes vacant by reason of death, resignation, retirement, disqualification, removal of office or otherwise, the remaining Governors then in office, though less than a quorum, by majority vote may choose the successor(s), who shall hold office for the unexpired vacated term. The decisions of the of the Officers and Board of Governors shall be final in any and all cases not covered by the By-Laws. ARTICLE IV - PROCEDURE FOR NOMINATION AND ELECTION OF OFFICERS AND GOVERNORSSection 1 - ElectionNomination and election of Officers and the Board of Governors shall be held on the first Tuesday of December of each year at the hour of 7:00 P.M. at the principal place of business of the club in the manner hereinafter designated. This meeting shall be refered to as the "Annual Election Meeting".Section 2 - InstallationThe Officers and Governors elected shall be duly installed and shall assume their duties at the next regular meeting following their election and shall continue until their successors are duly elected and installed.Section 3 - NominationA nomination committee of five (5) members shall be appointed by the President not less than sixty (60) days prior to the annual elections. Such committee shall nominate a President, Vice President, Treasurer, Secretary and not less than seven (7) members for consideration of election. Other candidates may be placed in nomination from the floor at the regular Annual Election Meeting. As many nominations may be made as the members so desire until a motion is made, seconded, and carried that the nomination be closed. Notice of the Annual Election Meeting shall be posted prior to the opening of the November meeting and include nominations for Officers and Board of Governors made by the selection committee. All those nominated for Office or the Board of Governors must be present at the Annual Election Meeting to accept the nomination. Those nominated but not present shall be removed from nomination unless absence was excused for valid reasons and approved in advance by the current Officers and Board of Governors.Section 4 - Election of Officers and Board of GovernorsOn the first Tuesday of December of each year, a secret ballot vote shall be made by the members present for each of the Officers placed in nomination. First for President, then Vice President, Treasurer and Secretary. Then a secret ballot shall be cast for all nominations for the Board of Governors. Votes shall be counted and those receiving the top seven (7) votes shall be elected to the Board of Governors.Section 5 - Vote by Affirmation For OfficersIn the event there is only one (1) person nominated for an Officer position a verbal vote of affirmation may be taken. If those that say "yes" are greater than those that say "no" then the officer shall be considered elected.ARTICLE V - MEETINGSSection 1 - Regular MeetingsRegular meeting of the members shall be held between 6:00 P.M. and 7:00 P.M. on the first Tuesday of each month unless such Tuesday shall fall on a legal holiday, in which event the meeting shall be held the following Tuesday. The Officers and Board of Governors shall determine the specific time of the regular meeting and shall post the time that the meeting shall be held.Section 2 - Special MeetingsA special meeting of the Officers and Board of Governors may be called at any time by the President and may be called at any time upon the written request of of three (3) Governors, or ten (10) members filled with the Secretary and briefly stating the purpose of such call. At least two (2) days written notice or by phone or mail shall be given each member of the holding of a special meeting.Section 3 - Scope of MeetingsAny business within the scope of the corporate powers of the club and in accordance with these By-Laws may be transacted at the Annual or any regular meeting of the club.Section 5 - Voting by ProxyVoting by proxy shall not be permitted at any of the meetings of this club.ARTICLE VI - OFFICERSSection 1 - PresidentThe President shall preside at all meetings of the club and the Board of Governors. The President shall also perform such duties incident to office and shall advise such action(s) as may be deemed likely to increase the usefulness of the club.The President may appoint from the members of the club such committees as the occasion may require and that they are deemed necessary. The president shall also have the power to remove them. The term of all committees shall be during the term of the administration from which they received their appointment. The term of a special committee shall expire with the performance of the duty for which it was appointed. Section 2 - Vice PresidentIn the absence of the President, the Vice President shall assume the duties of the President. In the absence of the President and Vice President the Treasurer shall assume the duties of running the club, followed in order by the Secretary. In the event of the absence of all Officers the Board of Governors shall select a President Pro Tempore.Section 3 - TreasurerThe treasurer shall receive and disburse the funds of the club. The Treasurer shall keep the money of the club deposited in its name in such bank or banks as may be designated from time to time by the Board of Governors. The Treasurer shall provide a monthly report of club finances and financial condition of the club, the appropriation made for each activity and the unencumbered balance thereof to the Board of Governors and club membership. The Treasurer shall be responsible for any required reports to City, State or Federal agencies.Section 4 - DisbursementsNo financial obligation shall be incurred by any member of the club or any member of any committee of the club unless the same shall be authorized by the Board of Governors.Section 5 - SecretaryIt shall be the duty of the Secretary to to conduct the official correspondence of the club. This shall include an accurate account of club and Board of Governor meetings, official correspondence to preserve all books, documents, communications and to accumulate a file of reference information on subjects of interest to members for the proper prosecution of the purpose for which the club was organized. At the end of the period for which elected or appointed, the Secretary shall deliver to the Board of Governors all books, papers, and property of the club.ARTICLE VII - TERM OF EXISTENCEThis club shall remain in existence until such time as three-fourths (3/4) of its active membership shall vote to disband it. No members shall have any right, title or interest in any assets of the club unless the same is disbanded in which event only Active members in good standing at the time the club is disbanded may participate pro rata in the assets.ARTICLE VIII - RECALL OF OFFICERSTo recall an Officer or any members of the Board of Governors, it shall be necessary to present to the Secretary of the club a petition signed by not less than fifty (50) members of the club who are in good standing, stating the name(s) of the person or persons to be recalled., the office(s) held by the person(s) and shall set forth clearly the reasons for the recall. The Secretary shall then send to such person(s) at their last known address at least ten (10) days in advance, notice that such recall matter shall be considered at a regular or special meeting called for that purpose, stating the time and place for such meeting.At this meeting, all facts shall be presented by all parties interested and after gathering all evidence, the members shall proceed to vote on the question of recall. A three fourths (3/4) vote of all members present in the affirmative shall be required to effect the recall of the person or persons in question. Because of the importance of this proceeding, a quorum shall consist of not less than fifty (50) members in good standing. ARTICLE IX - AMENDMENTSThese By-Laws may be altered, amended or repealed at any annual or adjourned annual meeting of the members of this club, or at any special meeting called for this purpose. Any amendment proposed must be carried by a majority voter of the meeting at which it was proposed before it shall become effective.11/2010 BPMGC AEB |
